Shopping mall owner Rouse Properties Inc. has applied for an agreement to become bought by a joint venture partner of Brookfield Asset Management Inc. within an all-cash deal worth $2.8 billion, including debt.

Brookfield will acquire all the outstanding shares of Rouse’s common stock at $18.25 per share, New York-based Rouse said in a statement today.
